What happens if your appointment starts and it’s deemed not appropriate for virtual care:

During the course of your virtual care appointment, it may become evident that the nature of your concerns requires an in-person assessment or immediate attention that virtual care cannot provide. In such instances, our dedicated healthcare professionals may recommend a referral to another medical service, such as your Primary Care Provider or your local Emergency Department.

We appreciate your understanding and flexibility in these situations. Our goal is to ensure that you receive the most appropriate level of care tailored to your individual needs. Your well-being is our top priority, and any recommendation for a different level of care is made with your best interests in mind.

Privacy Policy

1. Purpose

This privacy policy pertains to the collection, use and disclosure of Personal Information in the custody and control of Health Espresso.

Personal Information shall include (i) personal information as such term is defined in the Personal Information Protection Electronic Documents Act; (ii) personal health information as such is defined in the Personal Health Information Protection Act (Ontario), provided that for purposes of this policy, Personal Information shall not include information about Health Espresso employees in such employees’ capacity as employees of Health Espresso.

It is the policy of Health Espresso to keep any information gathered through the use of our systems secure. As such, user information is not disclosed or shared to unauthorized third parties except as allowed by Canadian law and described herein.

Health Espresso reserves the right to review the covenants contained in this Privacy Policy and to make changes. Every time that a change to this policy is made, users will be notified and the revised version will be posted on our website. By utilizing our application and/or website, or otherwise providing Personal Information to us, the user agrees to be bound by Health Espresso’s Privacy Policy.

2. Personal Information and Personal Health Information

Health Espresso collects information that personally identifies the user, such as the user’s name, address, mobile telephone number, e-mail addresses, location, medical history and other information that the user provides to Health Espresso or information on the Health Espresso profile or account. Personal information may be collected in a number of ways, including: in person, over the phone, by mail, over the Internet, and from third parties who you have authorized to disclose Personal Information to us. We make every reasonable effort to keep your Personal Information as accurate, complete and up-to-date as necessary. If desired, you may verify the accuracy and completeness of your Personal Information in our records.

Users may choose to disclose Personal Information and Personal Health Information is disclosed to other users of the application, including designated Secondary Users, the user’s Physician(s) and other Health Care Provider(s), individuals and companies managing those Physicians and Health Care Professionals, and Health Espresso administrative and technology staff. If Users are being offered access to Health Espresso’s services and technology, including online subscription services, through their Health Care Professionals, information may be set to be disclosed with the Health Information Custodian (HIC) by default.

3. Collection, Use and Disclosure of Personal Information and Personal Health Information

The Health Espresso mobile app and online platform use Personal Information and Personal Health Information for purposes consistent with the collected information. The information users provide directly relates to the Health Espresso features users can take advantage of. For example, if users chose to share information with health care providers, Health Espresso aids access. Location information allows users to find health care providers in their area.

Health Espresso employees have minimal access to user Personal Information and Personal Health Information of subscriber services. Health Espresso has no access to information stored on the Health Espresso mobile app . Access is restricted to authorized employees with legitimate business reasons such as the ability to provide technical support if requested. We require all of our employees to abide by Health Espresso’s privacy standards. Our employees understand the importance of keeping your information private. For this reason, our employees are required to agree to a confidentiality agreement that prohibits the disclosure of any user information to unauthorized parties.

Employees are strictly prohibited from accessing or disclosing Personal Information without authorization. All employees are expected to maintain the confidentiality of Personal Information at all times and failure to do so will result in appropriate disciplinary measures including dismissal.

Health Espresso will never rent or sell the personal information or personal health information it collects. Health Espresso will never disclose Personal Information or Personal Health Information to third parties except as contemplated in this privacy policy, as explicitly requested by users when they allow access in-app, or as otherwise permitted by law. Further, Health Espresso will never disclose Personal Information to third parties, except as required by law or upon demonstrated lawful authority, or as set out in this Privacy Policy.

Health Espresso uses third-party service providers to host servers in Canada. These third-party service providers may have access to Personal Information as an incidental result of the services provided by such third parties to Health Espresso, but the access of such third parties to such information is strictly controlled in accordance with the safeguards detailed below.

The type of information we are legally required to disclose may relate to criminal investigations or government tax reporting requirements. In some instances, such as a legal proceeding or court order, we may also be required to disclose your Personal Information to authorities. Only the information specifically requested is disclosed and we take precautions to satisfy ourselves that the authorities that are making the disclosure request have legitimate grounds to do so.

Your Personal Information may be disclosed in situations where we are legally permitted to do so, such as in the course of employing reasonable and legal methods to enforce your rights or to investigate suspicion of unlawful activities. We may release certain Personal Information when we believe that such release is reasonably necessary to protect the rights, property and safety of ourselves and others.

Should Health Espresso conduct market or product research, it will never use Personal nor Personal Health Information; rather, it would fully anonymize information, meaning that it would render it unlikely to be traced back to an individual.

4. Usage and Aggregate Data

Health Espresso collects usage information from users to our services. The purpose of this collection is to understand how users access and use the services in order to enhance and optimize our services. Usage information and data could include but is not limited to the user’s device type, device identifier, IP address, browser type, operating system, duration of use, number of messages sent or received, and times at which the application was accessed. It may also include a record of when specific features of the Health Espresso App or Health Espresso Service are used. In addition, Health Espresso will collect aggregate data about a group or category of services or users. This information, as well as the Personal Information collected, enables Health Espresso to analyze trends, administer Health Espresso’s services and products, troubleshoot, enhance, and improve Health Espresso’s services.

Health Espresso maintains the right to inform our users about any change that may affect information collected or stored. We may be required to comply with a court order or governmental regulatory requirement or disclose information in connection to legal proceedings. If required to do so, we will make every effort to notify the relevant parties about the proceedings.

Health Espresso reserves the right to use the contact information of users for the purposes of communications regarding any aspect of a user’s account or corresponding services and products. Users will have the option to participate or opt out of optional communications (e.g. marketing, press, events) while mandatory communications (e.g. security updates, product announcements/revisions) will go out to all active users.

Health Espresso is not anticipating any changes in corporate status, however as we grow and develop that may change. You understand and agree that we may use your Personal Information and disclose your Personal Information to third parties in connection with the proposed or actual financing, insuring, sale, securitization, assignment or other disposal of all or part of our business or assets (including accounts) for the purposes of evaluating and/or performing the proposed transaction. These purposes may include, as examples, permitting such parties to determine whether to proceed or continue with the transaction, fulfilling any reporting or audit requirements to such parties, and/or disclosing Personal Information as part of concluding a sale or transfer of assets. Our successors and assigns may collect, use and disclose your Personal Information for substantially the same purposes as those set out in this Policy. In the event the transaction does not go through, we will require, by contract, the other party or parties to the transaction not to use or disclose your Personal Information in any manner whatsoever for any purpose, and to return or destroy such Personal Information. Personal Information that is collected online remains subject to applicable legislation and corporate policy.

5. Data Retention

Health Espresso reserves the right to reject, suspend, alter, remove or delete data if it breaches our terms and conditions or it is necessary to protect us or others where we have reasonable grounds for believing that a criminal act has been committed, or if required to do so by law.

For free users, Personal Information and Personal Health Information retention is limited to the Health Espresso app on the user’s device. This means removing information from the app, or deletion of the app itself, will delete the Personal Information and Personal Health Information, unless users have their own device back-ups. For this reason, Health Espresso reminds users to exercise care if deleting the app, as users who wish to re-engage Health Espresso’s services will need to re-enter information upon redownload.

Paid subscriber Personal Information and Personal Health Information is backed up in the cloud.

When the user chooses to use Health Espresso’s in-app communication features, including chat, Health Espresso processes and stores the user’s messages, logs, contact data, and other related information. Health Espresso does this in order to provide these communication options. Data will be stored indefinitely in a secure and private manner, either on the user’s mobile device, or for subscribers, online as part of the online platform. Information is deleted as per direction from the user as allowable by operational needs and relevant law. Health Espresso maintains security/privacy policies and procedures to ensure every step is taken to maintain the integrity of the data in our care.

6. Data Protection and Control of User Data

Health Espresso takes reasonable steps to protect information collected from users to prevent loss, misuse and unauthorized access, disclosure, alteration and destruction.

Health Espresso has appointed a Privacy Officer who works with the Information Security Manager. Together both are responsible for information system monitoring and information security policy and procedure management. The Privacy Officer is responsible for compliance with Health Espresso’s privacy program including,

Undertaking privacy impact assessment and threat and risk assessments on a regular basis;
Adopting policies and procedures on the basis of privacy impact assessment and threat and risk assessments to mitigate all identified risks, updated as necessary.

Health Espresso users may access their Personal Information by accessing their account and, should they require assistance, by contacting our Privacy Officer. Our Privacy Officer’s contact information can be found below.

Safeguard measures to ensure authorized access include: the use of a username and a password for authentication. Every user must keep their password and username safe and make sure that any person who has access to view such private information is permitted to do so. Users must contact Health Espresso immediately if the user believes their password has been misused. All Health Espresso web communications, and data stored in-app are encrypted in transit and at rest, using industry-standard AES encryption.

Health Espresso stores all Personal Information and Personal Health Information in Canada, with Amazon Web Services (AWS). AWS is hosting all Health Espresso servers, databases and applications in the AWS secure cloud. AWS is certified as compliant with ISO Standard 27018 Code of Practice for personal identifiable information (PII) protection in public clouds acting as PII processors. In addition to the independent certification process under ISO27018, the Standard also includes the right to audit AWS for compliance.

7. Consent

Having read this notice and by choosing to use the Health Espresso App, site and Health Espresso Services, you consent to the collection, transfer, processing, storage, disclosure and other uses of your information described herein. In the event you set up a Profile that relates to someone other than yourself, you are solely responsible for ensuring that you have any and all consents and permissions to share that Personal Information with us and to use that information as part of the Health Espresso Services.

When adding secondary users, or healthcare professionals, to your profile, Health Espresso presumes users have implied consent for these parties to access Personal Health Information. To withdraw consent for secondary users or healthcare professionals, users may simply delete the secondary user/healthcare professional’s profile in-app.

Users may withdraw consent for Health Espresso’s App and Services at any time; however, be aware that withdrawal of consent may result in our inability to offer you our Services. Users who would like to close your Account or delete any Profile from your Account, please contact us at support@healthespresso.com. Health Espresso will use commercially reasonable efforts to honor your request, save when data retention is necessary to comply with legal obligations or contractual agreements.

8. Age Restrictions

Health Espresso's Site, Apps and Services are not directed to persons under the age of 13. Health Espresso does not knowingly collect personally identifiable information from children under 13. If a parent or guardian becomes aware that his or her child has provided us with Personal Information without their consent, he or she should contact us at support@healthespresso.com If Health Espresso becomes aware that a child under 13 has provided us with Personal Information, the company will delete such information from our files. If you as a user and have created a Profile for a minor under the age of 18, you represent and warrant to us at Health Espresso that you are the parent or legal guardian for that minor with a right to provide us the Personal Information of that minor.

9. Usage Risks

Exporting Information: Health Espresso offers users the ability to share information with their healthcare providers. The Health Espresso platform is designed to make this information sharing painless; it allows different ways to share. However, users should be aware that some methods of information sharing are less secure than others. If users export or send Personal Information / Personal Health Information, including sensitive information to:

Personal drives
Online cloud services, including Google Drive
Email

Health Espresso cannot guarantee the security of these channels, the user's accounts or settings. Users send sensitive information over insecure methods or to insecure locations do so at their own risk.

Before sending sensitive information, users are encouraged to review the security of their choice.

Secondary Users: Users of Health Espresso have the option of allowing secondary users to their account. Secondary users include family or professionals outside of healthcare providers the user wishes to have access to their health records for monitoring of care, or as substitute decision-makers if the user becomes invalid and unable to make care decisions. Secondary users may only be added by the primary user of the account. Once enabled, Health Espresso cannot monitor or limit secondary user access to Personal Information or Personal Health Information, although primary users can remove access at any time.

For this reason, users should only enable secondary user access to those they trust.

10. Governing Law

This privacy policy shall in all respects be governed by and interpreted, construed and enforced in accordance with the laws of the Province of Ontario, the laws of the Province of British Columbia, and the laws of Canada applicable therein.

11. Reporting a Problem

If you feel your account may have been compromised, or you discover abuse or misuse of Health Espresso Services, the Site or the Health Espresso App, please report it immediately to support@healthespresso.com and we will investigate.

13. Cookies

Our website may use "cookies" to enhance the user experience. Web cookies are very small text files that are stored on the user’s computer from a webpage to keep track of information about the user’s browsing on that site. The use of cookies allows us to capture standard web traffic information, such as the time and date the user visited our website, their IP address, and their browser information. In no circumstances do the cookies capture any information that can personally identify the user. The user may choose to set their web browser to refuse cookies, or to alert the user when cookies are being sent. Terms of Service

You acknowledge and agree that, by accessing or using the Health espresso Services, or by downloading, uploading or posting any content from or on the Site or through the Health espresso Services, you are indicating that you have read, and that you understand and agree to be bound by, these Terms, whether or not you have registered via the Site. If you do not agree to these Terms, then you have no right to access or use the Site or Health espresso Services.

iCare Home Health Services Inc.. (“Health espresso” or “we”)provides an on device service to help track, collect, organize, store and manage information related to your care or the care of your children, parents, and loved ones (the “Health espresso Services”) through our website, accessible at healthespresso.com, or via applications for the iOS or Android operating systems (collectively, the “Site”). Please read carefully the following Terms of Service (“Terms”) and our Privacy Policy which is incorporated by reference into these Terms. These Terms govern your access to and use of the Health espresso Services and Collective Content (defined below) via the Site, and constitute a binding legal agreement between you and Health espresso.

NO MEDICAL ADVICE

PROFILES

When you register with us for access to the Health espresso Services and successfully complete the account registration process you will become a “Member” of the Health espresso Service. As a Member, you will have the opportunity to create one or more care profiles (“Profiles”) and to add information, data, and images to your Profile(s) (“Profile Content”). A Profile may relate to you or it may relate to your child, parent or other loved one. As a Member, you will have the opportunity to invite third-party secondary user (“Secondary user”) to access the Profiles that you create. If you elect to invite a Secondary user to access your Profile(s), that Secondary user will receive an invitation to register with the Health espresso Services and will need to complete the account registration process to become a Member. In addition, any Secondary user that you invite to access your Profile(s) will have full access to all Profile Content within your Profile(s) as well as the ability to add, delete, distribute, download and edit the same. Because of the sensitive and private nature of your healthcare and the healthcare of those loved ones on whose behalf you may be creating a Profile, we recommend that you protect the private and sensitive information contained within your Profile(s) and consider carefully whether to permit any Secondary user to access your Profiles. All Members are responsible for monitoring the Profile Content uploaded or added to their Profiles, whether uploaded by the Member, by a Secondary user or by other third parties.

Please note that you, and not Health espresso, are responsible for maintaining and protecting all Profile Content. Health espresso will not be liable to you for any loss or corruption of your Profile Content, or for any costs or expenses associated with backing up or restoring any of your Profile Content.

CARE ADVISORS

We have a team of dedicated Care Advisors whose job is to support you in whatever way they can. By registering with us to access Health espresso’s Services, you agree that Health espresso and Health espresso’s Care Advisors may contact you to discuss Health espresso’s services as well as third party services Health espresso may make available to you in connection with your health and wellness. Third party services may include offering health insurance plans, including private health services offerings/ options that may be available through third party agencies, or other services that we may have the opportunity to offer from time to time. You agree that Health espresso may contact you about Health espresso Services or third party services in various ways including, but not limited to, email, Inbox in the app, telephone, cell phone, and SMS/text messages.

ADDITIONAL TERMS

Certain areas of the Site (and your access to or use of certain aspects of the Health espresso Services) may have different terms and conditions posted or may require you to agree with and accept additional terms and conditions in order to obtain access to or use of that Site area or Health espresso Service. Any additional terms will be made available to you at the time you access that applicable Site area or Health espresso Service. If there is a conflict between these Terms and terms and conditions posted for a specific area of the Site or a particular Health espresso Services, the latter terms and conditions will take precedence with respect to your use of or access to that area of the Site or particular Health espresso Services, as applicable.

MODIFICATION

Health espresso reserves the right, at its sole discretion, to modify, discontinue or terminate the Health espresso Services or to modify these Terms, at any time and without prior notice. If we modify these Terms, we will post the modified Terms and alert you to the modified Terms on the Site or otherwise provide you with notice of the modification. We will also update the “Last Updated Date” at the top of these Terms. By continuing to access or use the Health espresso Services after we have posted a modification on the Site or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Site and Health espresso Services.

ELIGIBILITY

The Site and Health espresso Services are intended solely for persons who are 19 or older. Any access to or use of the Health espresso Services by anyone under 19 is expressly prohibited. By accessing or using the Health espresso Services you represent and warrant that you are 19 or older.

ACCOUNT REGISTRATION

In order to access the Health espresso Services, including to (i) create and manage a Profile and (ii) post any Profile Content through the Health espresso Services, you must register to create an account (“Account”) and become a Member. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. Health espresso reserves the right to suspend or terminate your Account if any information provided during the registration process or thereafter proves to be inaccurate, not current or incomplete. You will be asked to create a password when you create your Account. Health espresso does not have access to your passwords and if you forget your password you will be asked to create a new one. You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities or actions. You will immediately notify Health espresso if you become aware of any unauthorized use of your Account.

PRIVACY

See Health espresso’s Privacy Policy for information and notices concerning Health espresso’s collection and use of your personal information and the Profile Content you submit.

OWNERSHIP

The Site, Health espresso Services and the news and other content provided by Health espresso through the same, including the trademarks, trade dress and copyrightable text (collectively, the “Health espresso Content”), are protected by copyright, trademark, and other laws of Canada and foreign countries and are the proprietary designations of Health espresso. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties. You acknowledge and agree that the Site, Health espresso Services and Health espresso Content, including all associated intellectual property rights, are the exclusive property of Health espresso and its licensors. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site, Health espresso Services or Health espresso Content.

As between any Member and Health espresso, all Profile Content is and remains the sole and exclusive property of you as the Member. Health espresso does not own or retain any Profile Content and its use of the same is subject to these Terms and our Privacy Policy.

LICENSE GRANTED BY MEMBER

By making available any Profile Content on or through the Health espresso Services, you hereby grant to Health espresso a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid up right and license to access, use, view, copy, adapt, reformat, and download, such Profile Content only on, through or by means of the Health espresso Services and for the limited purpose of making such Profile Content available to you and any Secondary user with whom you choose to share access to one or more of your Profiles via the Health espresso Services and as otherwise set forth in our Privacy Policy. In the event you do elect to make one or more Profile(s) and their corresponding Profile Content available to one or more Secondary user, you further grant Health espresso a right to sublicense the Profile Content to such Secondary user to allow access to and use of the same as permitted by the Health espresso Services.

ALTHOUGH ANY SECONDARY USER IS SUBJECT TO THESE TERMS AS A MEMBER, WE CANNOT CONTROL ANY USE OF PROFILE CONTENT BY ANY SECONDARY USER AND YOU ARE SOLELY RESPONSIBLE FOR THE SAME AND ANY LIABILITY FOR SUCH ACCESS.

You acknowledge and agree that you are solely responsible for all Profile Content that you make available through the Health espresso Services. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Profile Content that you make available through the Health espresso Services or you have all rights, licenses, consents and releases from your loved one that are necessary to grant to Health espresso the rights in such Profile Content, as contemplated under these Terms, including the provision to Health espresso of Personal Information (as defined in the Health espresso Privacy Policy) submitted to us as part of a Profile; and (ii) neither the Profile Content nor your posting, uploading, publication, submission or transmittal of the Profile Content or Health espresso’s use of the Profile Content (or any portion thereof) on, through or by means of the Health espresso Services will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

LICENSES GRANTED BY HEALTH ESPRESSO TO HEALTH ESPRESSO CONTENT AND MEMBER CONTENT

Subject to your compliance with the terms and conditions of these Terms, Health espresso grants you a limited, non-exclusive, non-transferable license to view, download and print any Health espresso Content solely for your personal and non-commercial purposes. You will not use, copy, adapt, modify, prepare derivative works based upon, distribute, download, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Site, Health espresso Services or Health espresso Content, except as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Health espresso or its licensors, except for the licenses and rights expressly granted in these Terms. Any misuse of the Site, Health espresso Services or Health espresso Content available via the same may be pursued by Health espresso to the fullest extent permitted by law.

In addition, if you are invited as a Secondary user to receive access to one or more Profile(s) by another Member(s) subject to your compliance with the terms and conditions of these Terms, Health espresso grants you a limited, non-exclusive, non-transferable license to access and use the Profile Content to which you are granted access by another Member. You have no right to sublicense the license rights granted in this section. Unless otherwise agreed between you and the Member granting you access to such Profile Content, all Profile Content is deemed to be confidential and you may not publicly disclose, display, distribute, transmit, stream, broadcast or otherwise use or exploit any Profile Content for any purpose other than the lawful provision and assistance of the management of the personal health care of the individual to whom the Profile Content relates.

Members and Emergency Personnel Access

One of the additional Health espresso Services that is available to you as a Member is Members and Emergency Personnel Access. Access to and use of the Members and Emergency Personnel Access requires a separate registration process with Pharmaceutical Innovation Ltd. PHARMACY FACILITATION SERVICES (Auto-Refill)

One of the additional Health espresso Services that is available to you as a Member is a pharmacy facilitation service (“Pharmacy Assistance”). Access to and use of the Pharmacy Assistance requires a separate registration process with Health espresso pursuant to which you maybe required to designate Health espresso as your agent to request refills to prescriptions and pick up prescriptions from a retail pharmacy on your behalf, in compliance with the Pharmacy Assistance Terms of Service. Our Pharmacy Assistance is currently in beta testing and as a result is currently only available in certain regions.

iCare Concierge MD

Paid subscriber Personal Information and Personal Health Information is backed up in the cloud.

Health espresso provides a link to iCare Concierge MD services supported by Akira.md. Concierge MD offers 24/7 access to a medical team for the purposes of navigating the Ontario health care system. By clicking on the Concierge Health service, the member absolves health espresso and its agents of any liability that may arise from the Concierge Health service and will be accepting Concierge Health Terms of Service by iCare Home Health Services Inc.

The Site may contain links to third-party websites or resources. You acknowledge and agree that Health espresso is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Health espresso of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources or the content, products, or services on or available from such websites or resources.

OTHER SERVICES

From time to time, we may present you with offers or promotions we believe to be helpful or relevant, which may be from us at Health espresso or they may be from third parties. Certain of these offers may require you to share or enter additional information about you or your loved one. You are responsible for managing the information you choose to share. Health espresso is providing the platform through which these services can be coordinated and managed, and although we do our best to select the highest quality third party partners and providers, we are not responsible for the choices you make to share your private information, or the accuracy or quality of such third party services. In that instance the Health espresso Services are only a venue for you to access those third party services and Health espresso is not a party to, nor are we otherwise involved in any transactions entered into via or facilitated by the Health espresso Services. Furthermore, Health espresso is not liable or responsible for any dispute that arises between you and any third party.

In addition, Health espresso will do its best to enable you to use the Health espresso Service as a singular console through which these third party services may be managed, including facilitating the delivery and receipt of communications between you and your healthcare providers, from pharmacies to physician’s offices. We cannot guarantee that we can or will be able to maintain our relationship with any particular third party. We also are not responsible for any of the service levels, availability or quality of any such connections with third parties, and disclaims any responsibility for errors or miscommunication with the same. To the extent providing other services requires actions on your behalf, you consent to appointing Health espresso as your agent as reasonably needed to facilitate those services.

GENERAL PROHIBITIONS

You agree not to do any of the following:

Impersonate or misrepresent your affiliation with any person or entity;
Violate any applicable law or regulation;
Collect or store any personally identifiable information, including any Profile Content and/or Personal Information (as defined in the Privacy Policy) from the Health espresso Services from other Members of the Health espresso Services without their express permission;
Post, upload, publish, submit or transmit any Profile Content that: (i) infringes, misappropriates or violates a third party’s privacy or any rights of publicity, or any patent, copyright, trademark, trade secret, moral rights or other intellectual property rights; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
Attempt to probe, scan, or test the vulnerability of any Health espresso system or network or breach any security or authentication measures;
Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Health espresso or any of Health espresso’s providers or any other third party (including another user) to protect the Site, Health espresso Services, Health espresso Content or Profile Content;
Attempt to access or search the Site, Health espresso Services or Health espresso Content or download Health espresso Content or Profile Content from the Health espresso Services through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Health espresso or other generally available third party web browsers;
Use the Health espresso Services or Site to send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
Use any meta tags or other hidden text or metadata utilizing a Health espresso trademark, logo URL or product name without Health espresso’s express written consent;
Use the Site, Health espresso Services, Health espresso Content or Profile Content for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms;
Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site or Health espresso Services to send altered, deceptive or false source-identifying information;
Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site or Health espresso Services;
Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Site or Health espresso Services; or
Encourage or enable any other individual to do any of the foregoing.

Health espresso will have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. Health espresso may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.

You acknowledge that Health espresso has no obligation to monitor your access to or use of the Site or Health espresso Services or to review or edit any Profile Content, but has the right to do so for the purpose of operating the Site and Health espresso Services, to ensure your compliance with these Terms, and to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body.

Health espresso reserves the right, at any time and without prior notice, to remove or disable access to any Profile Content that Health espresso, at its sole discretion, considers to be in violation of these Terms or otherwise harmful to the Site or Health espresso Services.

NOTIFICATION OF COPYRIGHT INFRINGEMENT

We respect the intellectual property rights of others and expects its users to do the same.It is Health espresso’s policy, in appropriate circumstances and at its discretion, to disable and/or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others.

In accordance with the Canadian Copyright law 2005 including Bill C-11, the text of which may be found on the Canadian Copyright Office website, Health espresso will respond expeditiously to claims of copyright infringement committed using the Health espresso website (the “Site”) that are reported to Health espresso’s Designated Copyright Agent, identified in the sample notice below.

If you are a copyright owner, or are authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the Site by completing Notice of Alleged Infringement and delivering it to Health espresso’s Designated Copyright Agent. Upon receipt of the Notice as described below, Health espresso will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged material from the Site.

1. Identify the copyrighted work that you claim has been infringed, or – if multiple copyrighted works are covered by this Notice – you may provide a representative list of the copyrighted works that you claim have been infringed.

2. Identify the material that you claim is infringing (or to be the subject of infringing activity) and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material, including at a minimum, if applicable, the URL of the link shown on the Site where such material may be found.

3. Provide your mailing address, telephone number, and, if available, email address.

4. Include both of the following statements in the body of the Notice:

“I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent, or the law (e.g., as a fair use).”
“I hereby state that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed.”

5. Provide your full legal name and your electronic or physical signature.

TERMINATION AND ACCOUNT CANCELLATION

If you breach any of these Terms, Health espresso will have the right to suspend or disable your Account or terminate these Terms and disable access to your Profiles that those Profiles to which you have been permitted access by other Members, at its sole discretion and without prior notice to you. Health espresso reserves the right to revoke your access to and use of the Site and Health espresso Services at any time, with or without cause. You may cancel your Account at any time by sending an email to support@healthespresso.com

WARRANTIES

You warrant and represent to Health espresso that your use of the Health espresso Services, whether as a Profile-creator or as a Secondary user, is solely for lawful purposes to facilitate the care of the individual that is the subject of the Profile. Neither the Health espresso Services, nor the Site, nor any Health espresso Content, nor any Profile Content may be used in any instance for any unlawful purpose.

DISCLAIMERS

THE SITE, HEALTH ESPRESSO SERVICES AND HEALTH ESPRESSO CONTENT ARE PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, HEALTH ESPRESSO EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. HEALTH ESPRESSO MAKES NO WARRANTY THAT THE SITE, HEALTH ESPRESSO SERVICES OR HEALTH ESPRESSO CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. HEALTH ESPRESSO MAKES NO WARRANTY REGARDING THE QUALITY OF ANY SERVICES OR HEALTH ESPRESSO CONTENT AVAILABLE FROM OR OBTAINED THROUGH THE HEALTH ESPRESSO SERVICES OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY HEALTH ESPRESSO CONTENT OR PROFILE CONTENT OBTAINED THROUGH THE HEALTH ESPRESSO SERVICES. PROFILE CONTENT IS SUBMITTED SOLELY BY MEMBERS AND HEALTH ESPRESSO HAS NO RESPONSIBILITY OR LIABILITY FOR THE TRUTHFULNESS OR ACCURACY OF THE SAME.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM HEALTH ESPRESSO OR THROUGH THE SITE OR HEALTH ESPRESSO SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

INDEMNITY

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS HEALTH ESPRESSO, ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, FROM AND AGAINST ANY CLAIMS, LIABILITIES, DAMAGES, LOSSES, AND EXPENSES, INCLUDING, WITHOUT LIMITATION, REASONABLE LEGAL AND ACCOUNTING FEES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (I) YOUR ACCESS TO OR USE OF THE SITE, HEALTH ESPRESSO SERVICES, ANY HEALTH ESPRESSO CONTENT OR ANY PROFILE CONTENT (WHETHER OR NOT IT IS A PROFILE YOU CREATED OR OTHERWISE), (II) ANY USE OF OUR SITE OR HEALTH ESPRESSO SERVICES FOR ANY UNLAWFUL OR INAPPROPRIATE CONDUCT, OR (III) ANY ACT OR OMISSION BY YOU THAT CONSTITUTES AN ACTUAL OR ALLEGED VIOLATION OF THESE TERMS.

LIMITATION OF LIABILITY

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SITE AND HEALTH ESPRESSO SERVICE, INCLUDING WITHOUT LIMITATION ANY PHARMACY ASSISTANCE, REMAINS WITH YOU. NEITHER HEALTH ESPRESSO NOR ANY OTHER PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE OR HEALTH ESPRESSO SERVICES (INCLUDING WITHOUT LIMITATION ANY PHARMACY ASSISTANCE) WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SITE OR HEALTH ESPRESSO SERVICES OR THE INABILITY TO USE OR ACCESS A PROFILE OR ANY SPECIFIC PROFILE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HEALTH ESPRESSO HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT WILL HEALTH ESPRESSO’S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SITE OR HEALTH ESPRESSO SERVICES (INCLUDING WITHOUT LIMITATION ANY PHARMACY ASSISTANCE) EXCEED THE AMOUNTS YOU HAVE PAID TO HEALTH ESPRESSO FOR USE OF THE SAME, IF YOU HAVE MADE ANY PAYMENTS TO HEALTH ESPRESSO FOR USE OF THE SAME OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN HEALTH ESPRESSO AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

CONTROLLING LAW AND JURISDICTION

These Terms and any action related thereto will be governed by the laws of the Province of Ontario, Canada without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights, as contemplated below in “Dispute Resolution” will be the provincial and federal courts located in the Greater Toronto Area of the Province of Ontario and each of the parties hereto waives any objection to jurisdiction and venue in such courts.

ENTIRE AGREEMENT

These Terms constitute the entire and exclusive understanding and agreement between Health espresso and you regarding the Site and Health espresso Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Health espresso and you regarding the Site and Health espresso Services. In the event that you have elected to access restricted portions of the Site or use additional Health espresso Services, which are subject to additional terms and conditions (including without limitation the Pharmacy Assistance), any additional terms and conditions applicable to that portion of the Site or additional Health espresso Service are expressly included within these Terms as well.

ASSIGNMENT

You may not assign or transfer these Terms, by operation of law or otherwise, without Health espresso’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Health espresso may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

NOTICES

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by Health espresso: (i) via email (in each case to the address that you provide); or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

DISPUTE RESOLUTION

You and Health espresso agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Health espresso Services (collectively, “Disputes”) will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights. You acknowledge and agree that you and Health espresso are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and Health espresso otherwise agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of any class or representative proceeding. If this specific paragraph is held unenforceable, then the entirety of this “Dispute Resolution” section will be deemed void. Except as provided in the preceding sentence, this “Dispute Resolution” section will survive any termination of these Terms.

Arbitration Rules and Governing Law.

Arbitration Process.

A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the Arbitration Act Rules. The arbitrator will be either a retired judge or an attorney licensed to practice law in the province of Ontario and will be selected by the parties from the Arbitration Act roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the Canadian Law of Arbitration court will appoint the arbitrator in accordance with the Arbitration Law Rules.

Arbitration Location and Procedure.

Unless you and Health espresso otherwise agree, the arbitration will be conducted in the Greater Toronto Area (GTA). If your claim does not exceed $10,000, then the arbitration will be conducted solely on the basis of documents you and Health espresso submit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary. If your claim exceeds $10,000, your right to a hearing will be determined by the Arbitration Act Rules. Subject to the Arbitration Act Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of the arbitration.

Arbitrator’s Decision.

The arbitrator will render an award within the time frame specified in the Arbitration Act Rules. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator’s award damages must be consistent with the terms of the “Limitation of Liability” section above as to the types and the amounts of damages for which a party may be held liable. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim. If you prevail in arbitration you will be entitled to an award of attorneys’ fees and expenses, to the extent provided under applicable law. Health espresso will not seek, and hereby waives all rights it may have under applicable law to recover, attorneys’ fees and expenses if it prevails in arbitration.

Fees.

Notwithstanding the provisions of the “Modification” section above, if Health espresso changes this “Dispute Resolution” section after the date you first accepted these Terms (or accepted any subsequent changes to these Terms), you may reject any such change by sending us written notice (including by email to support@healthespresso.com within 30 days of the date such change became effective, as indicated in the “Last Updated Date” above or in the date of Health espresso’s email to you notifying you of such change. By rejecting any change, you are agreeing that you will arbitrate any Dispute between you and Health espresso in accordance with the provisions of this “Dispute Resolution” section as of the date you first accepted these Terms (or accepted any subsequent changes to these Terms).

Changes.

Your responsibility to pay any Canadian Arbitration Law court filing, administrative and arbitrator fees will be solely as set forth in the Arbitration Act Rules. However, if your claim for damages does not exceed $5,000, Health espresso will pay all such fees unless the arbitrator finds that either the substance of your claim or the relief sought in your Demand for Arbitration was frivolous or was brought for an improper purpose.

GENERAL

The failure of Health espresso to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Health espresso. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
